MINDFUL FARMS: Terms of Service

Introduction and Acceptance

Welcome to Mindful Farms. These Terms of Service (“Terms”) govern your access to and use of our website, products, and services (collectively, “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Mindful Farms is a Colorado-based business-to-business (B2B) technology services company. We provide web hosting, website development, search engine optimization (SEO), and digital marketing services. We do not sell, distribute, handle, or process payments for any cannabis, hemp, CBD, or controlled substances.

Jurisdictional Notice & International Compliance

While Mindful Farms is a Colorado entity, our hosting infrastructure is physically located in the Republic of Moldova. Accordingly, these Services are subject to specific international compliance measures:

• • Article 217 (Moldovan Criminal Code): To ensure no “illicit circulation” of controlled substances occurs within the host territory, all Services are strictly geo-fenced to the United States.

• • Article 85 (Moldovan Contravention Code): Clients are prohibited from using the Services to facilitate the acquisition or possession of substances within Moldova.

• Geo-Fencing Requirement: As a condition of service, Client websites will be inaccessible to IP addresses originating from the Republic of Moldova and other non-US jurisdictions.

Description of Services

Mindful Farms provides the following technology services:

(a) Managed Web Hosting: Secure infrastructure for websites, protected by mandatory US-only geo-fencing.

(b) Website Development: Custom design and maintenance.

(c) SEO & Digital Marketing: Services intended for the US market only.

Client Eligibility and Compliance Requirements

To use our Services, you represent and warrant that:

(a) You are a legally established business entity authorized to conduct business in your jurisdiction.

(b) You possess all required licenses for regulated industries (cannabis, psychedelics, hemp) in your specific US state.

(c) No-Shipment Warranty: You will not ship or offer services to any person or entity within the Republic of Moldova.

(d) You are at least 18 years of age.

Acceptable Use Policy

You agree not to use our Services to:

(a) Violate any federal, state, local, or international law.

(b) Circumvent Geo-Fencing: Any attempt to bypass the US-only access restrictions or provide access to users in Moldova is a material breach of this agreement.

(c) Facilitate transactions for prohibited items within the Republic of Moldova.

(d) Engage in any activity that triggers liability under Moldovan Criminal Code Article 217 (illicit circulation).

Payment Terms

• 6.1 Fees: Includes setup, recurring hosting, and ad hoc fees.

• 6.2 Local Financial Separation: All payments must be made through US-approved channels. Clients may not use Moldovan financial institutions for service payments.

• 6.3 Late Payments: Accounts overdue by seven (7) days are subject to suspension.

Refund and Cancellation Policy

• 7.1 Setup Fees: Non-refundable once work commences.

• 7.2 Monthly Hosting: Billed in advance; no prorated refunds for partial months.

• 7.3 Chargebacks: Clients should resolve disputes directly with Mindful Farms before initiating chargebacks.

Service Level and Support

Mindful Farms strives for 99.9% uptime.

• Geo-Fence Uptime: We prioritize the maintenance of the geo-blocking API to ensure continuous legal separation between your content and the Moldovan public.

• Support: Available during US business hours via email and phone.

Intellectual Property

• 9.1 Client Content: You retain ownership. You grant us a license to host it in our Moldovan facilities for the sole purpose of providing Services.

• 9.2 Mindful Farms Materials: All proprietary tools and methodologies remain our property.

Limitation of Liability & Indemnification

10.1 Limitation: Mindful Farms is not liable for US federal enforcement actions or losses resulting from the Client’s failure to maintain state-level compliance. Our total liability is limited to the amount paid during the six (6) months preceding a claim.

10.2 Indemnification: You agree to indemnify Mindful Farms against any claims arising from your violation of US laws or the triggering of Moldovan regulatory inquiries due to your breach of the geo-fencing or no-shipment policies.

Data Privacy & Law Enforcement

In accordance with the Principle of Double Criminality, Mindful Farms will not surrender client data to foreign authorities unless the activity constitutes a crime in both the United States (at the state level of the client’s operation) and the Republic of Moldova.

Termination

Either party may terminate with fifteen (15) days’ notice. Mindful Farms may terminate immediately if:

• The geo-fence is intentionally breached.

• The Client targets Moldovan residents.

• Legal or reputational risks arise regarding Articles 217 or 85.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, USA. Disputes shall be resolved exclusively in the state or federal courts located in Colorado. However, technical operational compliance is maintained in accordance with the laws of the Republic of Moldova to ensure server-side legality.

Modifications

Mindful Farms reserves the right to modify these Terms, particularly in response to changes in Moldovan drug policy or US federal law. Continued use constitutes acceptance.
